Important: Investing involves risk of loss, including the possible loss of your entire investment. Do not invest funds you cannot afford to lose. Read this disclosure carefully before making any investment decision.
Scherkraft (operated by Scherkraft, S.A., a company registered in the Republic of Panama) facilitates investment in marine fuel supply transactions. This offering constitutes a private placement and has not been registered with the United States Securities and Exchange Commission (SEC), the Panamanian Superintendency of the Securities Market (SMV), or any other regulatory authority in any jurisdiction.
Participation is restricted exclusively to accredited investors as defined under SEC Rule 501 of Regulation D, or equivalent qualified investor standards in the investor's country of residence. It is the sole responsibility of each investor to determine whether they qualify.
All capital deployed through the Scherkraft platform is at risk. The value of your investment can fall as well as rise. You may not receive back the full amount you invest. There is no capital guarantee, no deposit insurance, and no government compensation scheme applicable to investments made through this platform.
Target returns of 12–24% per annum are based on historical deal performance and are illustrative only. They do not constitute a guarantee, promise, or forecast of future returns. Actual returns will vary based on deal margins, credit terms, market conditions, default rates, and other factors. Returns may be lower than projected, zero, or negative.
Each fuel transaction involves a shipping company as the credit counterparty. If a shipping company fails to settle its fuel invoice — due to insolvency, dispute, fraud, or any other reason — the corresponding deal may generate a loss for investors. While the commercial value of the vessel creates a natural repayment incentive, Scherkraft does not hold a formal lien or mortgage over any vessel. Recovery in the event of default is not guaranteed.
Investments in Scherkraft deals are illiquid. There is no secondary market for your investment. Funds deployed into an active deal are locked until that deal settles. Settlement periods range from 7 to 30 days, and delays are possible. You should only invest funds you do not require access to for the duration of the deal cycle.
Scherkraft relies on its internal operations, technology systems, and third-party service providers to execute and settle transactions. System failures, errors in settlement, fraud, or operational disruptions could adversely affect your investment or cause delays in distributions.
Investors whose capital is concentrated in a small number of deals bear greater risk than those whose capital is spread across many transactions. The Scherkraft platform allocates investor capital automatically across active deals, but the number of concurrent deals is variable and not guaranteed.
All transactions on the Scherkraft platform are denominated in United States Dollars (USD). If your functional or domestic currency is not USD, exchange rate movements may affect the real value of your investment returns when converted to your home currency.
The regulatory environment for private investment platforms and trade finance varies by jurisdiction and may change. Changes in law or regulation — in Panama or in your country of residence — could adversely affect the platform's ability to operate, your ability to participate, or the tax treatment of returns received.
This offering may not be legal in all jurisdictions. Each investor is solely responsible for ensuring that their participation complies with the laws of their country of residence.
Each investor is solely responsible for determining the tax treatment of returns received through Scherkraft investments under the laws of their country of residence. Scherkraft does not provide tax advice. Returns may be subject to income tax, withholding tax, capital gains tax, or other levies depending on your jurisdiction.
Scherkraft is a private commercial company and is not regulated as a financial institution or investment firm in any jurisdiction. There is no assurance that the platform will continue to operate. In the event of business failure or dissolution of Scherkraft, S.A., recovery of investor funds is not guaranteed.
Nothing on the Scherkraft platform, website, or in any communication from Scherkraft constitutes financial, legal, or tax advice. Prospective investors are strongly encouraged to seek independent professional advice before making any investment decision.
