This agreement governs your participation as an investor on the Scherkraft platform. By submitting an investor application and activating your account, you agree to be bound by these terms in full. Please read carefully before proceeding.
This Investor Agreement ("Agreement") is entered into between Scherkraft, S.A., a company incorporated under the laws of the Republic of Panama ("Scherkraft", "Company", "we"), and the individual or entity applying for investor membership ("Investor", "you").
To participate as an investor on the Scherkraft platform, you must:
You represent and warrant that these conditions are met at the time of application and throughout the term of your membership. Scherkraft reserves the right to verify eligibility at any time and to terminate accounts that do not meet these requirements.
Your investor account becomes active only after Scherkraft has reviewed your application, completed identity verification (KYC), and confirmed your eligibility. Scherkraft may request supporting documentation including government-issued identification, proof of address, and evidence of accredited investor status. Scherkraft reserves the right to decline any application without giving reasons.
The Scherkraft platform facilitates investment in marine fuel supply transactions. Once your account is active and funded:
Returns are generated from the margin between Scherkraft's fuel purchase price and the price charged to the shipping company. After deducting Scherkraft's operating fee (see Section 7), the remaining investor share is distributed proportionally to all investors whose capital was deployed in that deal.
Target annual returns of 12–24% are based on historical deal performance and are not guaranteed. Actual returns depend on deal margins, credit terms, default rates, and market conditions. Returns may be lower than projected, zero, or negative.
Deposits to your investor account may be made by wire transfer or via Stripe (credit card or ACH). Minimum investment: USD $10. Withdrawals are processed to the bank account or payment method on file, subject to any capital currently deployed in active deals. Scherkraft will process withdrawal requests within 5 business days of all active deals in which your capital is deployed settling in full.
| Fee | Amount | Details |
|---|---|---|

| Membership — Year 2 onward | USD $99.99 / year | Charged automatically from your investor account balance on the anniversary of activation |

Annual membership fees are non-refundable. If your account balance is insufficient to cover the annual membership fee, Scherkraft may suspend your account until the fee is settled.
Investor accounts and fuel buyer accounts are strictly separate. You may not simultaneously hold both account types — whether as an individual or through related entities. Any attempt to circumvent this restriction will result in immediate suspension of both accounts and potential forfeiture of any funds held therein pending investigation.
By activating your account, you confirm that you have read and understood the full Risk Disclosure, that you understand your capital is at risk, that returns are not guaranteed, and that you are making an informed investment decision appropriate for your financial situation. You are solely responsible for your own investment decisions.
You are solely responsible for determining and meeting all tax obligations arising from your investment returns in your country of residence. Scherkraft does not withhold tax on distributions (unless required by law) and does not provide tax advice. P&L statements provided by Scherkraft are for informational purposes only and do not constitute tax advice.
You may close your account at any time by contacting Scherkraft support. Any capital deployed in active deals will be returned once those deals settle. The annual membership fee for the current period is non-refundable.
Scherkraft may terminate your account immediately without notice if you breach this Agreement, if your eligibility lapses, or if Scherkraft is required to do so by law or regulation.
To the maximum extent permitted by law, Scherkraft's total liability to you for any claim arising from or related to this Agreement or your use of the platform shall not exceed the total membership fees paid by you in the 12 months preceding the event giving rise to the claim. Scherkraft is not liable for investment losses, loss of profits, or any indirect, consequential, or special damages.
Scherkraft may amend this Agreement from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the platform after the effective date constitutes acceptance of the updated terms. If you do not accept an amendment, you may close your account before the effective date.
This Agreement is governed by the laws of the Republic of Panama. Any dispute arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Panama City, Republic of Panama, except where mandatory consumer protection law in your country of residence requires otherwise.
This Agreement, together with the Risk Disclosure and Privacy Policy, constitutes the entire agreement between you and Scherkraft with respect to your investor membership and supersedes all prior communications, representations, or agreements relating to the same subject matter.
